Rail Vision News: Quantum AI Advances Rail Safety Systems

Rail Vision acquires a majority stake in Quantum Transportation to incorporate Quantum AI into the next generation of rail safety systems.

A strategic agreement to purchase 51% of Quantum Transportation Ltd. was signed by Rail Vision Ltd. (Nasdaq: RVSN), a technology business dedicated to transforming railway safety and the data-related sector. If usual closing conditions are met, this deal, which gives Rail Vision majority control, is anticipated to close in late December 2025 or early January 2026.

According to reports, Quantum Transportation is a state-of-the-art business that specializes in AI and quantum computing, with an emphasis on mistake correction solutions. For rail technologies and platforms associated with a novel pending patent application in quantum error correction, which is owned by Ramot, the Tel Aviv University technology transfers company, the company has an exclusive sublicense.

By enabling the effective, real-time decoding of surface code defects, Quantum Transportation’s intellectual property (IP) and expertise tackle important issues in noisy intermediate-scale quantum devices. In comparison to conventional techniques, this novel method drastically lowers computational overhead, which is essential for enabling scalable fault-tolerant quantum computing. The sublicensed technology is a machine learning-based universal decoder that is scalable, noise-aware, and code-agnostic, and it is pending patent.

Strategic Justification and Anticipated Synergies

Combining its own cutting-edge vision and railway safety technologies with this quantum-AI-based IP and innovation is Rail Vision’s goal. Significant technology synergies, improvements to Rail Vision’s present and upcoming product lines, increased innovation, and long-term value generation for stakeholders are all expected outcomes of this strategic combination.

By utilizing the exponential developments anticipated in the expanding quantum computing market, Rail Vision aims to unlock new capabilities in areas like anomaly detection, predictive maintenance, and autonomous rail operations by applying this IP to transportation applications, particularly railways. Rail Vision already uses engineering, big data, and artificial intelligence to equip the railway sector with cutting-edge vision sensor technology. Current options like the ShuntingYard system can identify and classify objects within a 200 m range, and the Mainline system has an extended visual range of up to 2 km (1.2 mi). Advanced sensors, artificial intelligence, and real-time data processing are used in both devices to provide unparalleled situational awareness and safety.

Details of the Acquisition

Prior to the acquisition, some Quantum Transportation shareholders (the “Exchanging Shareholders”) will receive ordinary shares from Rail Vision, which will represent about 4.99% of its issued and outstanding share capital, in exchange for their entire holdings. This will secure the 51% ownership.

Furthermore, upon closure, Rail Vision will offer Quantum Transportation a convertible loan of up to $700,000 with an annual interest rate of 8%. In order to support Quantum Transportation’s continuous operations and development plan over the following 18 months, this loan will be paid out in installments, with the entire amount due in 24 months. The only authority to convert the outstanding sum into Quantum Transportation’s senior class of shares rests with Rail Vision, contingent on a future equity investment price or a valuation associated with the current transaction.

Currently in the early stages of commercialization, Rail Vision is an Israeli technological business based in Ra’anana. The company believes its technology can make the ground-breaking idea of driverless trains a reality, therefore it has built railway detection and systems to save lives, drastically cut operator costs, and boost efficiency.
